Terms of Service

These Terms and Conditions contain information about “WeServe” App, the service we provide to you and the agreement we have between us. Please read them carefully. We may change them from time to time without prior notice or reason.

The Programmer for Electronic Marketing. (hereinafter referred to as “CONBDS”, ”TPEM”, “we”, “us”, “our” or “ours”) is a company incorporated in Jordan, with company number 49601. “TPEM” provides mobile applications, hereinafter referred to as “WESERVE “, that connect “Requester”s who have Tasks that they want completed with “Service Provider”s who are willing to undertake those Tasks. Collectively these Tasks are the Services, and the Services may be available through www.weserve-app.com, other websites and mobile applications.

This “TPEM” Participation Agreement (the “Agreement”) is a binding agreement between you and “TPEM”, Inc. (“”TPEM””) regarding your access to and use of the “WeServe” App. “TPEM” and its affiliates (“we”, “us”, or “our”) provide the “WeServe” App to you subject to this Agreement.

By using Services, you are confirming you have read these Terms and Conditions (“Terms”) and agree to be bound by them as long as you continue to make use of our application or service. These terms govern your access to and use of the Services and constitute a legally binding agreement between you and “TPEM”.

If you do not agree to these Terms, you may not use the Website or the mobile applications.

“WeServe” App IS AN INSTANT SERVICES MARKETPLACE PLATFORM THROUGH WHICH “REQUESTER”S POST A TASK, OUR PLATFORM WILL LIST THE “SERVICE PROVIDER”S AVAILABLE NEAR THE “REQUESTER”, THEN THE “REQUESTER” WILL SELECT AND INVITE THE PREFERRED “SERVICE PROVIDER”S TO COMPLETE THE TASK. WHEN THE “SERVICE PROVIDER” ACCEPTS THE TASK, INVITATION RECEIVED THROUGH OUR PLATFORM, THE “SERVICE PROVIDER” SHALL BE COMMITTED TO IT, DEPENDING ON SELECTED PAYMENT METHOD, WE MAY PRE-AUTHORISE A PAYMENT FOR CREDIT CARD OR ANY ELECTROCNIC PAYMENT METHOD USES. ONCE A TASK HAS BEEN COMPLETED “TPEM” MAY COLLECTS PAYMENT FROM THE “REQUESTER” AND PAYS THE “SERVICE PROVIDER”. “TPEM” TAKES A COMMISSION FOR INTRODUCING THE PARTIES AND THIS COMMISSION IS TAKEN AT THE SAME TIME THE “SERVICE PROVIDER” IS PAID. “TPEM” MAY NOT ALLOW CASH OR CREDIT TRANSACTIONS AT SOME COUNTRIES. IN THE CASE OF CASH PAYMENTS, THE “SERVICE PROVIDER” HAS TO COLLECT THE MONEY FROM “REQUESTER” AND SEND “TPEM” COMMISSION TO US EITHER THROUGH AGENT OFFICES OR THROUGH “WESERVE” APP.

IT IS FREE TO REGISTER WITH “WeServe” App. IT IS OPTIONAL TO BE REGISTERED BEFORE YOU CAN POST A TASK, IF YOU REGISTER, WE WILL ASK YOU TO PROVIDE CERTAIN INFORMATION INCLUDING YOUR MOBILE NUMBER AND PAYMENT CARD OR ACCOUNT DETAILS. REGISTRATION FOR “REQUESTER” IS RECOMMENDED TO BACK UP HIS DATA AND PROTECT IT FROM BEING LOST.

AS A “SERVICE PROVIDER” YOU WILL HAVE TO REGISTER WITH “WeServe” App, AND IT IS YOUR FULL RESPONSIBILITY TO BE QUALIFIED FOR DOING THE TASKS POSTED BY “REQUESTER” S.

YOU UNDERSTAND AND AGREE THAT “TPEM” ACTS AS A MARKETING AGENT, THAT DO NOT PROVIDE MAINTENANCE SERVICES, AND IS NOT A PARTY TO AGREEMENTS ENTERED INTO BETWEEN “REQUESTER”S AND “SERVICE PROVIDER”S. NO CONTRACT EXISTS BETWEEN “TPEM” AND THE “SERVICE PROVIDER” OR THE “REQUESTER” FOR THE SERVICES. “WeServe” App IS NOT AN EMPLOYMENT OR CONTRACTING AGENCY AND HAS NO CONTROL OVER THE CONDUCT OR SUITABILITY OF “REQUESTER”S AND “SERVICE
PROVIDER”S TO POST OR COMPLETE THE TASKS, AND THAT THE SATISFACTORY COMPLETION OF A TASK IS SOLELY DETERMINED BETWEEN THE PARTIES. IT IS A CONDITION OF USE OF THE SERVICES THAT THE PARTIES ACKNOWLEDGE THEY HAVE COMPLETE CONTROL OVER THEIR OWN CONDUCT AND THE OUTCOME OF THE SERVICES, AND “TPEM” DISCLAIMS ALL LIABILITY IN THIS REGARD.

Key Terms


“Account” means registering with “WeServe” App by providing certain mandatory and voluntary information.

“”WeServe” Content” App Content” means all content that “TPEM” makes available through the website or mobile applications, including 3rd party content, but excluding User Content.

“Business Account” means a User account in which business information, such as company registration and VAT details are provided if requested.


“Commission” means the money that is earned by “TPEM” for introducing “Requester”s and “Service Provider”s and payable by the “Service Provider” after a Task has been completed.

“Dispute” means a disagreement between the “Requester” and “Service Provider” that a Task has been satisfactorily completed.


“Expenses” means the cost of additional items that the “Service Provider” will need to purchase and be reimbursed for by the “Requester” in order to complete the Task.

“Holding Account” means a bank account owned and controlled by “TPEM” for the purposes of holding money drawn from the Seeker’s bank or other account once the price for a Task has been agreed.

“Task” means the work requested by the “Requester”.

“Parties” means collectively the “Requester” and the “Service Provider”.

“Payment Service” means any payment for “Service Provider”s.

“Promocode” means an offer by way of a one-time use discount code that the “Requester” enters into the app.

“Service Provider” means a User who primarily completes Tasks that are posted by “Requester”s.

“Services” means the Tasks that are posted by the “Requester”s and responded to by “Service Provider”s.

“Tax” means any and all statutory deductions due as a result of the financial transaction between a “Service Provider” and a “Requester”

“User” means an individual or a business that uses the “WeServe” App platform process. Such a user may be a “Requester” or a “Service Provider” or both.

“User Content” means information that a User provides about themselves, their profile or the details of a Task.

These Key Terms will have the same meaning if they appear in the singular, plural, masculine or feminine or as the context requires.

Eligibility and Responsibility

Minors under the age of 18 are prohibited to register as a user or “Service Provider” and are not allowed to transact or use the application, You must be 18 years old or older to use the “TPEM” mobile apps to Post or respond to Tasks, and we may ask for proof of age before you can register. –

We reserve the right to refuse to provide the Services to any individual, business or other entity at any time without explanation. Whilst “TPEM” takes reasonable care in screening “Service Provider”s, you are solely responsible for taking appropriate safety precautions in connection with your use of the Services.

“TPEM”‘s Role. The “WeServe” App is a venue for “Requester”s and “Service Provider”s to conduct transactions. Unless we are participating on the “WeServe” App as a “Requester”, we are not involved in the transactions, and have no control over the quality, safety, or legality of Tasks or consideration for Tasks, the ability of “Service Provider”s to perform Tasks to “Requester”s’ satisfaction, or the ability of “Requester”s to pay for Tasks. We are not responsible for the actions of any “Requester” or “Service Provider”, or performing any screening of “Requester”s or “Service Provider”s. Your use of the “WeServe” App is at your own risk. Because we are not a party to the transactions between “Service Provider”s and “Requester”s, we are not responsible for resolving any disputes between participants related to any Tasks or any transaction. If you do become aware of a participant violating this Agreement or otherwise disrupting the operation of the “WeServe” App , you may report that here.

Use of the Services

As a User of the Services you agree to the following:

It is optional to register as a “Requester”, but if you register and create an account for your personal or business use only, you may not authorise others to use your account and you may not assign or transfer your account to any other person or entity. You may register only one account. You are responsible for keeping any registration details confidential including your password. You acknowledge that “TPEM” is not responsible for any third-party access to your account and the consequences thereof, howsoever caused.

When you register for the “WeServe” App, you must provide complete and accurate information and ensure that information (as well as any additional information we may require to, among other things, verify your identity) is complete, accurate, and up-to-date at all times.

You may not use multiple “WeServe” App accounts to register for the “WeServe” App. The name associated with your “WeServe” App account must not suggest any affiliation with us or any other person or entity without their authorisation.

You are solely responsible for maintaining the secrecy and security of your password, and any use or action taken under your account. If your password is compromised, you must change your password. You may not permit any other person or entity to request or perform Tasks using your account. If you believe there is an error or unauthorised transaction or activity associated with your account, contact us immediately.

As a “Requester”, you agree that:
(i) you will interact with “Service Provider”s in a professional and courteous manner, and accurately describe your Tasks;
(ii) you may only use the “WeServe” App for purposes it was made for;
(iii) you may not have “Service Provider”s perform Tasks through venues other than the “WeServe” App (unless expressly permitted by us in a policy posted on the “WeServe” App );
(iv) payment might be deducted from your account balance and remitted to “Service Provider”s once Task is completed;
(v) payment is not refundable;
(vi) you will not reject Tasks performed by “Service Provider”s without good cause; and
(viii) if your account balance does not contain sufficient funds to cover payment to “Service Provider”s and our fees, you will promptly pay us any outstanding amounts owed.
Our pricing may vary in the future. You agree to pay the fees posted on the “WeServe” App.

You are responsible and assume liability for all information and User Content that you add to the mobile apps. Details of how “TPEM” may use any information and content are provided in the Privacy Policy.

You assume all risk when using the Services, including, but not limited to, any risks associated with interacting with other people. You acknowledge that “TPEM” is not able to guarantee the accuracy of information provided to you by other people and that you should confirm such information to your own satisfaction before you engage with them.

 

As a “Service Provider”, you agree that:
(i) you will interact with “Requester”s in a professional and courteous manner, and provide reasonably requested information in connection with your performance of Tasks;
(ii) you will use your human intelligence and independent judgment to perform Tasks in a competent and workmanlike manner;
(iii) you will supply complete and accurate information for all Tasks you perform if requested;
(iv) you will not perform Tasks through venues other than the “WeServe” App (unless expressly permitted by us in a policy posted on the “WeServe” App );
(v) you are solely responsible to provide receipts for each Task you complete to “Requester”s, these receipts should contain description of service provided and any governmental tax applied as per the law of country were the task is taken place;
(vi) “Requester”s may reject Tasks you perform for good cause;


The “Service Provider” may accept or reject the Task. We do not guarantee that a “Requester” will receive a response to a posted Task or that responses meet the requirements a “Requester” has specified. Nor do we guarantee to “Service Provider”s that they will be offered Tasks.

“Service Provider”s perform Tasks for “Requester”s in their personal capacity as an independent contractor and not as an employee of a “Requester” or “TPEM”. As a “Service Provider”, you agree that:
(i) you are responsible for and will comply with all applicable laws and registration requirements, including those applicable to independent contractors and maximum working hours regulations;
(ii) this Agreement does not create an association, joint venture, partnership, franchise, or employer/employee relationship between you and “Requester”s, or you and “TPEM”;
(iii) you will not represent yourself as an employee or agent of a “Requester” or “TPEM”;
(iv) you will not be entitled to any of the benefits that a “Requester” or “TPEM” may make available to its employees, such as vacation pay, sick leave, and insurance programs, including group health insurance or retirement benefits; and
(v) you are not eligible to recover “Service Provider”‘s compensation benefits in the event of injury. As a “Requester”, you will not engage a “Service Provider” in any way that may jeopardise that “Service Provider”‘s status as an independent contractor performing Tasks for you.

“TPEM” reserves the right, but is not under any obligation, to monitor information that is submitted to the mobile apps and to remove such information or material that in our sole opinion violates any applicable law, either the letter or spirit of this Agreement, or upon the request of a third party.

“TPEM” reserves the right, but is not under any obligation to compensate, to change anytime without notice, any rules, conditions, terms, formation, or formulation for its own sole discretion.

You as a user agree by using our “WeServe” App and platform to be full responsible in not violating the local laws and regulations of your country and place of submitting such service, “TPEM” will not be responsible for any results if either the “Requester” or the “Service Provider” didn’t follow rules and regulations, if you violates such terms and limitations will be responsible to compensate us for any damage or losses occurred due to such violation.

As a user, Your right to use the “WeServe” App is limited to your use and you are only authorised to use it in connection with requesting and performing Tasks. You may not use the “WeServe” App for any other purposes or in any way that:
(i) is unlawful;
(ii) harms “TPEM” (e.g., to support any competing marketplace), or its customers, suppliers or other parties, as determined in our sole discretion;
(iii) violates this Agreement; or
(iv) could damage, disable, overburden, or impair the “WeServe” App (or any network(s) connected to the “WeServe” App ), interferes with any other party’s use of the “WeServe” App , or otherwise undermines the integrity of the “WeServe” App or any of its features. Except as may be permitted in the Acceptable Use Policy, you may not use any data mining, robots, or similar data gathering or extraction tools on the “WeServe” App.

You will not use the Services, or engage in any activity on the “TPEM” website and/or mobile applications, in any way that:
• Violates any local, national or other laws or regulations or any order of a court of relevant jurisdiction;
• Uses any software, devices, scripts, robots or other means to access, scrape, crawl or spider any web pages
or other of the Services;
• Uses the “TPEM” website and/or mobile applications for any commercial or other purposes that are not permitted in these Terms;
• Infringes the rights of any person or entity, including their intellectual property, copyright, privacy or contractual rights;
• Distributes unsolicited material or advertisements;
• Is intended to harass, annoy, threaten or intimate any other Users;
• Promotes racism, bigotry, hatred or physical harm of any kind;
• Is defamatory, inaccurate, abusive, obscene, profane, offensive, sexually explicit or otherwise objectionable;
• Contains video, audio, photographs or images of another person without their permission (or in the case of a minor, the permission of the minor’s legal guardian);
• Promotes or enables illegal or unlawful activities;
• Is in any way used for money laundry activity, child abuse, etc.
• Is intended to deceive, defraud or swindle other Users of the Services;
• Is intended to damage or interfere with the operation of the Services, including but not limited to the introduction of viruses, time-bombs, Trojan horses, cancelbots, worms, or other harmful or disruptive codes, components or devices;
• Promotes, supports or solicits involvement in a political platform, religion, cult or sect;
• Is in any way used in connection with spamming, spimming, phishing, trolling or any similar activities.

Minors under the age of 18 shall not register to use the application, and “TPEM” are not responsible for any results occurred.

Account and Registration

Although its preferred, but “Requester”s may not be registered in order to Post a Task, but registration is mandatory for “Service Provider”s to be assigned for a Task that has been posted, you can create an Account with “TPEM”. This is done directly within the “WeServe” App. The app is available for free download from the Apple and other app stores.

It is possible to register with “TPEM” using login information with other third party social networking sites including, but not limited to Facebook. If you use Facebook or other third party social networking sites you warrant that you are entitled to disclose to “TPEM” your third party login information without breach of the terms and conditions of the third party site. By granting “WeServe” App access to your third party account you acknowledge that “TPEM” will access certain information and may store and use this information.

When you create an Account with “TPEM” we ask you to provide information about yourself, including payment information. You warrant that the information you provide is true, that it relates to you and is entirely accurate. We may, at our sole discretion, take steps to validate any identification, payment or other information you provide to “TPEM”. We may use third party agencies to undertake this validation, and in accepting these Terms you accept “TPEM” may take such steps to confirm your identity and other details you provide. We may reject the creation of an Account at our absolute discretion.

When you register as “Service Provider” we may ask you for more information, which may include ID, proof of address, social security number and right to work in your country. We may ask you for evidence that you hold public liability insurance. We may also ask for your bank account details. It is a condition of registering
with “TPEM” as a “Service Provider” that you hold a valid bank account into which payments from “TPEM” will be made.

It is a mandatory of the use of “WeServe” App that you provide us with your mobile phone number.

You agree by using our “WeServe” App and platform to be full responsible in not violating the local laws and regulations of your country and place of submitting such service, “TPEM” will not be responsible for any results if either the “Requester” or the “Service Provider” didn’t follow rules and regulations.

The “WeServe” App may be used only for lawful purposes and in a lawful manner consistent with our Acceptable Use Policy. In connection with your use of the “WeServe” App, you will comply with all applicable laws, ordinances, rules, regulations, orders, licenses, permits, judgments, decisions, and other requirements of any governmental authority that has jurisdiction over you. You represent and warrant that neither you nor your financial institution(s) are subject to sanctions or otherwise designated on any list of prohibited or restricted parties or owned or controlled by such a party, including but not limited to the lists maintained by the United Nations Security Council, the U.S. Government (e.g., the U.S. Department of Treasury’s Specially Designated Nationals List and Foreign Sanctions Evaders List, and the U.S. Department of Commerce’s Entity List), the European Union or its member states, or other applicable government authority. We reserve the right to monitor or investigate any Tasks, Submissions, transaction, activity, or content associated with the “WeServe” App or your account and take any action that we deem appropriate.

By visiting or registering for the “WeServe” App, you authorise the collection, use, and disclosure of information in accordance with the Privacy Notice. In addition, we may share certain information about you to other “WeServe” App participants to facilitate the service relationship and improve the “WeServe” App, including, for example, account numbers, feedback, ratings, and other attributes related to your use of the “WeServe” App.

Except for work product you receive from Tasks performed, you may only use information or other data acquired from your use of the “WeServe” App solely as necessary to use the “WeServe” App and for no other purpose (e.g., you may not use that information or data for solicitation, advertising, marketing, unsolicited e-mails or spamming, harassment, invasion of privacy, or otherwise objectionable conduct).

You may receive information relating to us or the “WeServe” App that is not known to the general public (“Confidential Information”). You agree that (i) all Confidential Information will remain our exclusive property, (ii) you will use Confidential Information only as is necessary for your participation on the “WeServe” App, and (iii) you will not otherwise disclose Confidential Information to any other person. Unless you have received our express written permission, you may not issue any press release related to “TPEM” or your use of the “WeServe” App.

Smartphone

TThe “TPEM” app functions on iPhone 4S and higher and other smartphones and operating systems as announced from time to time. As a “TPEM” “Service Provider” you must operate a smartphone on a monthly contract with sufficient monthly or unlimited data connection. You must agree to receive notifications and sharing location continuously.

Using “TPEM” services, you acknowledge that all mobile network expensive includes but not limited to data usages is your responsibility.

We may offer access to confidential, preview, beta, or similarly designated pre-release versions of Developer Materials or “WeServe” App features, technologies, or services for evaluation and testing purposes (collectively, “Preview Tests”). If you participate in a Preview Test that we designate as confidential, you will keep all information about that Preview Test and your participation confidential until we give you authorisation that you may disclose this information. You also agree that: (i) the preview materials are works in progress and may contain bugs, errors, or other defects; (ii) participating in Preview Tests is at your own risk and we are not liable for loss of data or other damage caused by Preview Tests; (iii) you will comply with all policies and guidelines related to Preview Tests made available to you; (iv) we may add or modify restrictions related to access to or use of the preview materials, or suspend or terminate participation in Preview Tests, at any time; (v) if you provide us with any feedback related to Preview Tests, we will be entitled to use that feedback without restriction; (vi) you will not provide your Preview Test access to any other person; and (vii) we have no obligation to make preview materials generally available.

Self Employment

“Service Provider”s are self-employed and are solely responsible for the quality and outcome of the work they do. “TPEM” acts as a marketing platform to introduce the Parties and disclaims any liability in the Services that are provided. As a “Service Provider” you are responsible for your own Tax, VAT, and any financial requirements or clearance affairs requested by your local authority law.

“Service Provider”s are self-employed and are solely responsible for their safety and user safety while performing any of their work.

“Service Provider”s perform Tasks for “Requester”s in their personal capacity as an independent contractor and not as an employee of a “Requester” or “TPEM”. As a “Service Provider”, you agree that:
(i) you are responsible for and will comply with all applicable laws and registration requirements, including those applicable to independent contractors and maximum working hours regulations;
(ii) this Agreement does not create an association, joint venture, partnership, franchise, or employer/employee relationship between you and “Requester”s, or you and “TPEM”;
(iii) you will not represent yourself as an employee or agent of a “Requester” or “TPEM”;
(iv) you will not be entitled to any of the benefits that a “Requester” or “TPEM” may make available to its employees, such as vacation pay, sick leave, and insurance programs, including group health insurance or retirement benefits; and
(v) you are not eligible to recover “Service Provider”‘s compensation benefits in the event of injury. As a “Requester”, you will not engage a “Service Provider” in any way that may jeopardise that “Service Provider”‘s status as an independent contractor performing Tasks for you.

Trust

“TPEM” may take reasonable (on random basis) steps to check that “Service Provider”s who are experienced in the Services provide. We check ID, proof of address and right to work and take reasonable steps to determine experience, which may include reference checking.

The Parties may review each other at the end of a Task and these reviews may be available to provide assurance. “TPEM” does not accept liability on the suitability of the “Service Provider” to do Tasks or the quality of the outcome and the Parties must determine for themselves if they want to engage.

Under no circumstances shall “TPEM” be held accountable for a bad service or low-quality materials used, in such case, the “Requester” shall directly litigate or hold the “Service Provider” accountable, and “TPEM” shall have no related liability.

Doing Tasks

As a “Requester” you can create a Task. The Task will include a description, location and a payment terms that is predetermined by you as a “Requester”. You may also upload photographs and videos relating to the Task and in so doing you agree not to submit photographs or videos that are likely to offend.

After the “Requester” submits a search, a list of available “Service Provider”s will be provided with their ranking, reviews, prices, and charging method (either per hour or per Task). The “Requester” then shall chose one or more of “Service Provider”s to send the Task to. The “Requester” will receive a notification after the first “Service Provider”s accept the Task, and the “Service Provider” will normally be available within two hours.

The “Requester” can cancel the Task request for free before any “Service Provider” accepts it, once the Task is accepted, the first charge fee (either the first hour or the inspection fee, depending on the charging method selected by “Service Provider”) will be charged.

Cancellation Policy


You may cancel a Task anytime, after the given period displayed on the applications or website the minimum fee will be charged, if cancelled within the upload period displayed no fee will be due.

Once the “Requester” receives a notification of acceptance from the first “Service Provider”, the “Requester” will be charged for the first charge fee (either the first hour or the inspection fee, depending on the charging method selected by “Service Provider”), however, the “Service Provider” will normally be available within two hours, if the “Service Provider” doesn’t arrive within two hours, then the Task will automatically be cancelled and the “Service Provider” will have to pay “TPEM” the commission of the first charging fee, the “Requester” then will not have to pay the first charging fee

However, each cancellation scenario has its own action:

When the “Requester” Cancel the request before Task is accepted by “Service Provider”, no penalty on “Requester” will be charged, and if an amount was deposited while using credit cards payment method this amount will be refunded back. and “Service Provider” will not be affected.


When the “Requester” cancel after Task is accepted by “Service Provider”, Penalty on “Requester” with either the first hour rate or inspection rate amount will be added to his account, and the “Service Provider” will receive a notification that the Task was cancelled.

When the “Service Provider” accepted a Task then cancelled it, his rating will be reduced by half star, and will receive a recorded penalty of amount equal to the higher of either the percentage or minimum amount stated in the dashboard at first page of “Service Provider” depending on the country were Task is taking place. The “Requester” will receive only a notification that the Task was cancelled.

When the “Service Provider” accepted a Task, but didn’t show up in 2 hours, his rating will be reduced by half star, and will receive a recorded penalty of amount equal to the higher of either the percentage or minimum amount stated in the dashboard at first page of “Service Provider” depending on the country were Task is taking place. The “Requester” will receive only a notification that the Task was cancelled for the reason that “Service Provider” didn’t show up


When “Service Provider” Cancel the Task after starting it, his rating will be reduced by half star, and will receive a recorder penalty of amount equal to the higher of either the percentage or minimum amount stated in the dashboard at first page of “Service Provider” depending on the country were Task is taking place. The “Requester” will receive only a notification that the Task was cancelled


When the “Requester” cancelled a Task after “Service Provider” started the Task, the “Requester” will receive a recorded penalty of amount equal to either first hour rate or inspection rate. The “Service Provider” shall receive his share from such amount as per the instated relative terms and current percentages.

When the customer cancelled a job after provider started the job, the customer will receive a recorded penalty of amount equal to either first hour rate or inspection rate. The provider shall receive his share from such amount as per the instated relative terms and current percentages.

Card Pre-Authorisation

When a “Requester” Posts a Task, we may pre-authorise payment of a minimum of the first hour of the Task on the payment card added to the app. A Task will only be Posted when the pre-authorisation is successfully received. This pre-authorisation will be released if the Task is cancelled or at the time of final payment.

We reserve the right to take the pre-authorisation amount in the event the payment for a Task is not fully collected and you accept our right to do this.

“Service Provider” – Responding to Tasks

As a “Service Provider” you will be receiving Task requests that have been Posted by “Requester”s when you are online and available for work. You must accept or reject a Task before another “Service Provider” may accept the Task or the Task be cancelled by the “Requester”. If you continually reject Tasks after going online, we may cancel your registration.


You warrant that in accepting a Task you will complete the Task as specified, to the standards and timescales agreed with the “Requester”.

You, as a “Service Provider”, shall be responsible for the cost of repair or damage to, or necessary cleaning of, “Requester” property resulting from use of the service under your account in excess of normal “wear and tear” damages and necessary cleaning (“Repair or cleaning”). In the event that user as a “Requester” needs for such repair or cleaning.

Under no circumstances, “TPEM” shall be responsible to for any type of damage, repair, or cleaning and any related compensation related for a Task provided by “Service Provider” to “Requester” and vice versa.

Pricing

TThe Task price provided by “Service provider” shall include “TPEM”’s commission,


“TPEM”’s commission shall include a percentage on the total job value, with a fixed minimum amount on Task acceptance by “Service Provider”. Such fixed fee and percentage commissions may vary from time to time at “TPEM”’s sole discretion.


The “Service Provider” might need to add extra expenses, which includes “TPEM”’s commission, for purchasing material or spare parts, such amount will be sent to “Requester” for approval. “TPEM”’s commissions may vary from time to time at “TPEM”’s sole discretion.

Payment


When Task is completed, either the “Requester” or the “Service Provider” shall notify the other party through the “WeServe” App, and the other party shall approve.

After the Task is confirmed to be completed, “WeServe” App calculates the final amount to be paid in US Dollars and deduct it according to the payment method approved.

The “Requester” agrees to hold sufficient funds in their account to pay the final amount as it becomes due and will not Post a Task unless they can pay for it. We may, at our sole discretion, not allow a “Requester” to Post a Task if we are outstanding the payment for a prior Task.

“TPEM” does not accept cash payments at some countries. All Tasks are Posted using a valid payment card and final payment is taken from the card once the Task is completed. “TPEM” reserves the right not to accept certain payment cards including, but not limited to, pre-payment cards.

“Service Provider” gives us full authority to transfer payments on his behalf to the bank account details provided in his registration while signing up or when modifying account information.

“Service Provider”s are paid up to 21+ working days in US Dollars after the “Requester” has paid for the Task, direct into a nominated bank account. The “Service Provider” has to fill his bank information in detail requested through the info page in the “WeServe” App.

“TPEM” will not pay the “Service Provider” unless it is received from the “Requester”, and it’s the “Service Provider” duty to collect it for “TPEM”. The US Dollar exchange rate might vary depending on the day of received the amount and the day of depositing the amount, “TPEM” will not be responsible for any loss resulted in the differences of exchange rates, differences resulted in transfer rates and fees deducted by the sending and receiving banks, or due to the dates of depositing the amounts. “TPEM” calculates the exchange rate from local currency to US Dollar when charging the “Requester” only, and therefore, the deposit to the “Service Provider” shall be in US dollars.

A Local partner to us might be available at some cities to enable cash payments between “Requester”s and “Service Provider”s, and though, the “Service Provider” has to settle his balance every time it reach negative values for more than a week to avoid account deactivation.

“WeServe” App will NOT deal or provide any services or products to any of OFAC (Office of Foreign Assets Control) sanctions countries in accordance with the law of JORDAN”.

Multiple Task orders may result in multiple postings to the cardholder’s monthly statement.

No Liability for Transactions or Delays. We are not a bank and do not offer banking services. Except for our limited role in providing the Payment Processing Service, we are not involved in any underlying transactions between “WeServe” App participants (unless we are participating on the “WeServe” App as a “Requester”). We do not guarantee payment on behalf of any “Requester”. In addition, to the fullest extent permitted by applicable law, we will not be liable for any failure, delay, or damages arising out of the Payment Processing Service, or any transactions entered into through the “WeServe” App.

Your “WeServe” App account may be subject to certain transaction limits, which may affect your ability to make or receive payments or to withdraw funds. Any limits may be modified at any time. These limits may be affected by several factors, including, without limitation, our assessment of the risk associated with your account, the amount of pending or potential chargebacks, the information you provide, our ability to verify your account information, and requirements of law. In addition to account limits, we may restrict transactions to or from your account or limit access to funds in your account in an amount and for a period of time we deem necessary to protect us or others if
(a) we are subject to financial risk;
(b) you have violated any term of this Agreement;
(c) you have pending chargebacks or you may have chargebacks;
(d) any dispute exists involving your account, or Tasks requested or performed in connection with your account;
(e) needed to protect the security of our systems;
(f) we suspect any unauthorised, fraudulent, suspicious, abusive, or unlawful activities; or
(g) required by law or court order or if otherwise requested by law enforcement or any governmental entity. Other than a credit to a “Service Provider”‘s account for Tasks performed by that “Service Provider”, amounts held in your account cannot be transferred to other “Requester”s or “Service Provider”s.

Tax & VAT


As a “Service Provider” and “Requester”, you agree that you are responsible for your own accounting and tax & VAT affairs according to your country laws and regulations, and that you will hold “TPEM” entirely harmless from any claims from your local authorities related to tax or any other statutory body.

Under no circumstances, shall “TPEM” be responsible to submit any type of receipts, bills, nor documents to record the service provided by the “Service provider”, in fact, if required, the “Requester” shall organise such request from the “Service Provider” directly, and “TPEM” will not be responsible for any results occurred.

You agree that it is your responsibility to determine any and all taxes and duties, including without limitation, sales, use, transfer, value added, and other taxes or duties assessed, incurred or required to be collected, or paid for any reason in connection with any request for, or performance of Tasks, or your use of the “WeServe” App , or otherwise in connection with any action, inaction or omission of you or any affiliate of yours, or any of your or their respective employees, agents, contractors or representatives (“Taxes”) and to collect, withhold, report, and remit correct Taxes to the appropriate tax authority, and to otherwise be responsible for the collection and payment of any and all Taxes. WE MAY WITHHOLD AND REPORT ON PAYMENTS TO “SERVICE PROVIDER”S TO TAXING AUTHORITIES. YOU AGREE THAT WE ARE NOT OBLIGATED TO DETERMINE WHETHER TAXES APPLY, AND WE ARE NOT RESPONSIBLE TO COLLECT OR REMIT ANY TAXES ARISING FROM ANY TRANSACTION.

Payment Services

“TPEM” may use Payment Services at our complete discretion to facilitate payment card processing. “TPEM” will ensure that the Payment Services comply with such financial and other relevant regulations but will not be responsible for the performance of the Payment Services. “TPEM” accept payments online using Visa and MasterCard credit/debit card in USD currency.


“TPEM” will be responsible for paying the fees charged by the Payment Services.

“TPEM” has the full rights to at our complete discretion to modify any formation, formulation, fees, depending on exchange rates, banks regulations and requirements, etc.

“TPEM” will not be responsible for any fees the receiving bank of “Service Provider” might charge. and it shall be deducted from the “Service Provider”.

“TPEM” reserves the right to terminate the Accounts of Users who keep their balance in negative for more than one week.

“TPEM” shall not be responsible on the US dollar exchange rate value variance.

You, the user, don’t have the right to complain or claim any extra amounts other the one received through the bank transfer, such amounts sent by us will be calculated automatically through our system and be considered final settlement for related Tasks. Any differences between numbers can vary for currency exchange rates, bank fees for sending and receiving which we are not responsible for.

Refund Policy


“TPEM” under no circumstances will accept any refund claim, regardless of the services provided or the satisfaction for the Task done.

However, the cardholder must retain a copy of transaction records and Merchant policies and rules, which will be shown in the Task history page saved on his device were the application is installed and used, “TPEM” will not be responsible if the data was lost due to any reason.


Refunds will be done only through the Original Mode of Payment.

Disputes and Dispute Resolution

If the “Requester” is not satisfied that the “Service Provider” has completed the Task to the performance and/or quality the “Requester” may reasonably expect, the Parties may enter into a Dispute. The Parties may also enter into a Dispute if the “Service Provider” is not satisfied the “Requester” has correctly described the Task to be done. The parties may only enter a Dispute within 7 days of the Task completion date. In the event of a Dispute the Parties hereby agree to negotiate a settlement in good faith and hereby recognise that the responsibility for reaching a mutually agreed settlement lies between them only, and “TPEM” will not interfere in any of such relation or instant.


Under no circumstances, “TPEM” shall be held accountable for a bad service extended or low-quality materials used, in such case, the “Requester” shall directly litigate or hold the “Service Provider” accountable, and “TPEM” shall have no related liability.


Under no circumstances, “TPEM” will not hold or return any amount of money from the transaction received or due, regardless of the result of work nor satisfaction of client.


“TPEM” reserves the right, at our sole discretion, to terminate the account of a User or “Service Provider” who it deems is entering into a low ranking than average.

Any dispute or claim arising out of or in connection with this application shall be governed and construed in accordance with the laws of JORDAN.

Hashemite Kingdom of Jordan is our country of domicile.

If you make a payment for our products or services on our application, the details you are asked to submit will be provided directly to our payment “Service Provider” via a secured connection.


The “Requester” / cardholder must retain a copy of transaction records and Merchant policies and rules.


However, Refunds will be done only through the original mode of payment.

In Addition, as a user, you will indemnify, defend and hold harmless “TPEM” and its affiliates (and their respective officers, directors, employees, directors, agents and representatives) from and against any and all claims, costs, losses, damages, judgments, tax assessments, penalties, interest and expenses (including reasonable attorneys’ fees) arising out of any claim, action, audit, investigation, inquiry or other proceeding instituted by a person or entity that arises out of or relates to:
(i) any actual or alleged breach of your representations, warranties, or obligations set forth in this Agreement;
(ii) any Tasks you request or perform and any Submissions, including any actual or alleged infringement or misappropriation of third-party rights by any of those Tasks or Submissions;
(iii) your wrongful or improper use of the “WeServe” App ; or
(iv) a dispute between you and any other “WeServe” App participant.

TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, WE WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, PUNITIVE OR CONSEQUENTIAL DAMAGES (INCLUDING ANY LOSS OF REVENUE, PROFITS, GOODWILL, USE, OR DATA) ARISING IN CONNECTION WITH THIS AGREEMENT, THE “WeServe” App , THE DEVELOPER MATERIALS, THE PAYMENT PROCESSING SERVICE, THE TASKS, OR TRANSACTIONS THROUGH THE “WeServe” App , EVEN IF WE HAVE BEEN ADVISED OF THE POSSIBILITY OF THOSE DAMAGES. FURTHER, TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT WILL OUR AGGREGATE LIABILITY ARISING IN CONNECTION WITH THIS AGREEMENT, THE “WeServe” App , THE DEVELOPER MATERIALS, THE PAYMENT PROCESSING SERVICE, THE TASKS, OR TRANSACTIONS THROUGH THE “WeServe” App , EXCEED THE TOTAL AMOUNT OF FEES EARNED BY “TPEM” IN CONNECTION WITH YOUR REQUEST FOR, OR YOUR PERFORMANCE OF, TASKS DURING THE TWELVE MONTH PERIOD IMMEDIATELY PRECEDING THE EVENT GIVING RISE TO THE CLAIM FOR LIABILITY.

We each agree that any dispute resolution proceedings will be conducted only on an individual basis and not in a class, consolidated, or representative action. If for any reason a claim proceeds in court rather than in arbitration, both parties will each waive any right to a jury trial. We also both agree that you or we may bring suit in court to enjoin infringement or other misuse of intellectual property rights.

Recommendations and Reviews

“Requester”s and “Service Provider”s are encouraged to offer reviews for each other each time a Task is completed. You agree to provide a prompt review that is true and fully reflects your experience with the “Requester” or “Service Provider” with who you have engaged.

“TPEM” reserves the right to terminate the Accounts of Users, either “Requester” or “Service Provider”, who repeatedly receive poor reviews.

Warranty

“Service Provider”s can warranty the Tasks they do for an agreed duration directly with “Requester” / user under their own sole responsibility. “TPEM” will not hold any type of responsibility or offer any related warranty to the Task executed or any relation between the “Service Provider” and “Requester”.

Under no circumstances, “TPEM” shall be held accountable for a bad service extended or low-quality materials used, in such case, the “Requester” shall directly litigate or hold the “Service Provider” accountable, and “TPEM” shall have no related liability. In addition, “TPEM” will not hold or return any amount of money from the transaction received or due, regardless of the result of work nor satisfaction of client.

Under no circumstances, “TPEM” shall be held accountable for a multifunction, error in system, any type of system or database crash, hacking or malware activity, and you understand that you don’t have the right to sue or claim for any type of compensation in return.

THE “WeServe” App, THE DEVELOPER MATERIALS, THE PAYMENT PROCESSING SERVICE AND THE TASKS ARE PROVIDED ON AN “AS IS”, “WITH ALL FAULTS” AND “AS AVAILABLE” BASIS. YOU EXPRESSLY AGREE THAT USE OF THE “WeServe” App, THE DEVELOPER MATERIALS, THE PAYMENT PROCESSING SERVICE AND THE TASKS ARE AT YOUR SOLE RISK. TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, WE MAKE NO REPRESENTATIONS OR WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, AS TO THE OPERATION OF THE “WeServe” App , THE DEVELOPER MATERIALS, THE PAYMENT PROCESSING SERVICE, OR THE TASKS, AND DISCLAIM ANY AND ALL REPRESENTATIONS OR WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING WITHOUT LIMITATION:
(A) ANY IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, OR NON-INFRINGEMENT;
(B) ANY WARRANTY THAT THE “WeServe” App , THE DEVELOPER MATERIALS, THE PAYMENT PROCESSING SERVICE OR THE TASKS WILL MEET YOUR REQUIREMENTS, WILL ALWAYS BE AVAILABLE, ACCESSIBLE, UNINTERRUPTED, TIMELY, SECURE, OPERATE WITHOUT ERROR, OR WILL CONTAIN ANY PARTICULAR FEATURES OR FUNCTIONALITY;
(C) ANY WARRANTY THAT THE INFORMATION, CONTENT, MATERIALS, OR SUBMISSIONS INCLUDED ON THE “WeServe” App WILL BE AS REPRESENTED BY “Requester”S OR “Service Provider”S, THAT THE TASKS ARE LAWFUL, OR THAT “Requester”S OR “Service Provider”S WILL PERFORM AS PROMISED OR TO YOUR SATISFACTION; OR
(D) ANY IMPLIED WARRANTY ARISING FROM COURSE OF DEALING OR USAGE OF TRADE.

“TPEM” has the right to stop all activities or part of it for upgrade or update their systems, applications, or platforms; and “TPEM” will not be held responsible for any damage or loss resulted to either user, “Requester”, or “Service Provider”.

Private Engagement


“Service Provider”s are listed to Tasks on the basis of availability and location. A “Requester” may not find the same “Service Provider” each time seek a service or post a Task.


As a “Requester” you agree not to privately offer Tasks to “Service Provider”s you have previously engaged with through “WeServe” App. As a “Service Provider” you agree not to accept or solicit for Tasks that are offered to you by “Requester”s you have previously worked for through “WeServe” App.

“TPEM” reserves the right to terminate the Accounts of Users who enter into private engagements.

Cancellation of Your “WeServe” App Account


You may not cancel your “WeServe” App account, but, you can deactivate it at any time through the application.

We may terminate this Agreement, terminate or suspend your account and access to the “WeServe” App, or remove any Task listings immediately without notice for any reason. Upon any termination or suspension of this Agreement, your right to use the “WeServe” App will cease, and you will not be able to retrieve any information related to your account. If you are a “Requester” and we terminate this Agreement, then (i) any Tasks that have been completed by “Service Provider”s but not yet accepted by you will be deemed accepted and the applicable payments will be remitted to the “Service Provider”s and deducted from your account balance, and (ii) your account balance, less any amounts you owe us (including an amount determined by us to be adequate to cover chargebacks, refunds, adjustments, or other offsets we are entitled to take in connection with your account), may be withdrawn if all withdrawal related authentication requirements have been fulfilled. If you are a “Service Provider” and we terminate this Agreement, then your account balance, less any amounts you owe us (including an amount determined by us to be adequate to cover chargebacks, refunds, adjustments, or other offsets we are entitled to take in connection with your account), may be withdrawn if all withdrawal-related authentication requirements have been fulfilled. However, if we terminate this Agreement for cause (e.g., you have breached our Acceptable Use Policy), your remaining account balance (if any) may be forfeited.

Reporting Misconduct


If you engage with another User who you feel has acted in an inappropriate way towards you, including but not limited to offensive, violent or sexually inappropriate behaviours you should immediately make a report to the appropriate authorities and then to “TPEM” at help@WeServe-app.com quoting the filing report number and location. Your report may cause us to investigate such behaviour, but we are not obligated to take action beyond that which is required by law, and we will not incur any additional liability or expense.

Indemnity


You as a user agree to indemnify and hold “TPEM” and its officers, directors, employees, and agents harmless from any and all claims, demands, losses, liabilities, and expenses (including attorneys’ fees), arising out of or in connection with:
(i) your use of the Services or services or goods obtained through your use of the Services;
(ii) your breach or violation of any of these Terms;
(iii) “TPEM”’s use of your User Content; or
(iv) your violation of the rights of any third party, including Third Party providers.

Privacy Policy

“TPEM” respect the confidentiality of the information you give us. However, we might pass on any information about our Users to third party organisations, or if we were compelled to do so by law.


All credit/debit cards details and personally identifiable information will NOT be stored, sold, shared, rented or leased to any third parties.


The Website Policies and Terms & Conditions may be changed or updated occasionally to meet the requirements and standards. Therefore the “Requester”s’ and “Service Providers” are encouraged to frequently visit these sections in order to be updated about the changes on the website. Modifications will be effective on the day they are posted.

Some of the advertisements you see on the Site are selected and delivered by third parties, such as ad networks, advertising agencies, advertisers, and audience segment providers. These third parties may collect information about you and your online activities, either on the Site or on other websites, through cookies, web beacons, and other technologies in an effort to understand your interests and deliver to you advertisements that are tailored to your interests. Please remember that we do not have access to, or control over, the information these third parties may collect. The information practices of these third parties are not covered by this privacy policy.

Trademarks and Copyright

The “TPEM”, “WeServe” App, & “CONBDS” logo, etc. are registered trademarks of The Programmer for Electronic Marketing Co. “TPEM”. “TPEM” respects trademark and copyright law and we expect our Users to do the same.

General Conditions

This Agreement is the entire agreement between you and us regarding the subject matter of this Agreement. This Agreement supersedes all prior or contemporaneous representations, understandings, agreements, or communications between you and us, whether written or verbal, regarding the subject matter of this Agreement. We will not be bound by, and specifically object to, any term, condition or other provision which is different from or in addition to the provisions of this Agreement, including when submitted by you in any order, invoice, bill, receipt, acceptance, confirmation, correspondence or other document.

You may not assign or transfer any rights, obligations or privileges that you have under this Agreement without our prior written consent. We may assign this Agreement, in whole or in part, at any time without notice. Subject to the foregoing, this Agreement will be binding on each party’s successors and permitted assigns. Any assignment or transfer in violation of this section will be deemed null and void.

If any part of this Agreement is determined to be invalid or unenforceable pursuant to applicable law, then the invalid or unenforceable provision will be deemed superseded by a valid, enforceable provision that most closely matches the intent of the original provision and the remainder of this Agreement will continue in effect. The word “including” will be interpreted without limitation when used in this Agreement.

The failure by us to enforce any provision of this Agreement will not constitute a present or future waiver of that provision nor limit our right to enforce that provision at a later time. All waivers by us must be in writing and signed by us to be effective.

We may modify, suspend or discontinue the “WeServe” App, in whole or in part, at any time without notice. We may modify this Agreement in the future by posting the modified terms on the “WeServe” App. Continued use of the “WeServe” App will constitute your acceptance of the modified terms.
